1. Introduction
These Terms and Conditions ("Terms") govern your use of the services provided by Side by Side Systems ("we", "us", "our"), including the Modern Founder OS membership platform, the Modern Founder OS waitlist, our paid workshops, our done-for-you (DFY) builds, 1:1 consultations, and any add-on services.
By joining our waitlist, purchasing, subscribing to, or otherwise enrolling in any of our services, you agree to be bound by these Terms. If you do not agree, please do not proceed.
2. Definitions
- "Platform" or "Modern Founder OS" or "MFOS" — our paid membership platform (sidebysidesystems.com), including all modules, lessons, tools, community, calls, and supporting materials.
- "Membership" — your active paid subscription to Modern Founder OS.
- "Waitlist" — the Modern Founder OS pre-launch sign-up list.
- "DFY Service" or "DFY Build" — any of our done-for-you builds (outbound, CRM / Revenue Ops, combined, or automation builds).
- "Workshop" — a paid standalone workshop we run from time to time (typically £49).
- "1:1 with Josh" — a one-to-one consultation with Josh Fry (£200/hr). Replaces the previous "Diagnostic Hour" offering.
- "Member", "Customer", or "Client" — anyone who joins the waitlist, subscribes to MFOS, books a workshop, or purchases a DFY build, 1:1, or add-on.
- "Content" — all platform lessons, templates, prompts, skills, SOPs, recordings, and documents we provide.
3. Services
3.1 Modern Founder OS Membership
Modern Founder OS is an ongoing paid membership covering four modules:
- Pipeline (cold email and outbound)
- AI Tools and Automation (Claude Code and n8n)
- Revenue Ops and CRM (Attio)
- Content and Inbound
Membership includes:
- Access to all modules currently published (additional modules unlock as they ship, at no extra cost while your membership is active)
- 2× weekly group support calls
- Free access to all paid workshops we run
- Paid community
- Loom support for membership-related questions
Pipeline and Automation will be published at platform launch. Revenue Ops and Content ship over the months following launch and unlock automatically for active members.
3.2 The Modern Founder OS Waitlist
The waitlist is free to join. It is not a purchase. By submitting the waitlist form you:
- Consent to receive emails from us about the platform launch, founder pricing, and related product updates
- Confirm that the details you submit are your own and accurate
- Acknowledge that joining the waitlist does not guarantee a founder-pricing seat (those are allocated on a first-come basis to the first 25 paid members at launch) and does not create any purchase obligation

3.3 DFY Builds
Done-for-you builds where we design, build, test, and hand over a working system. Build types include (non-exhaustive):
- Email outbound build
- CRM / Revenue Ops build (e.g. Attio with automation)
- Combined email + CRM build
- Automation-only build
Scope, deliverables, and pricing for each engagement are agreed in a written proposal before work begins. Each engagement is bespoke; nothing in these Terms overrides what is agreed in your individual proposal.
DFY clients own the systems we build for them. They are yours to operate, modify, and keep after handover.
3.4 Workshops
Paid live or recorded workshops covering specific topics (typically £49). Workshops are free for active MFOS members.
3.5 1:1 with Josh
Paid one-to-one consultations with Josh Fry at £200/hr. Used for tactical advice, strategy review, and bespoke clarity sessions. Booked via our scheduling link and paid in advance.
3.6 Add-ons
- Pipeline Strategy add-on — £300 (one-off, 90-minute strategy session)
- Email Infrastructure Build — £100 (one-off, turnkey domain + mailbox + sending-tool setup; you pay the mailbox provider directly)
4. Joining and Access
4.1 Waitlist
You join the waitlist by submitting the form on sidebysidesystems.com/mfos-waitlist. There is no payment and no contractual obligation beyond consenting to receive waitlist emails.
4.2 Membership signup
Membership begins when your first payment is received. You will receive a confirmation email with sign-in details for the Modern Founder OS platform.
4.3 Access duration
- Modern Founder OS content, group calls, community, Loom support: available for as long as your membership is active and paid up.
- Email infrastructure you build: the domains, mailboxes, and DNS records are yours permanently.
- AI tools, prompts, and SOPs: you keep your own copies and adaptations on your own machine/account permanently; access to our up-to-date template versions is via your active membership.
4.4 If your membership ends
If you cancel or your subscription lapses, you lose access to:
- The platform (modules, lessons, community, calls)
- Future updates to templates, prompts, and SOPs
You keep:
- Your own copies of any templates, prompts, knowledge bases, infrastructure, or campaigns you've already created
- Anything you built with the materials while you were a member
5. Payment Terms
5.1 Modern Founder OS Membership
- Founder Members (first 25 sign-ups only, locked for life): £99 / month
- Standard Membership (everyone after the first 25): £149 / month
Payments are taken monthly in advance by Stripe. By starting your subscription you authorise Stripe to charge your chosen payment method on the same date each month until you cancel.
5.2 DFY Builds
Pricing is set in your written proposal. As a guideline:
- Builds under £7,500: full payment upfront before work begins
- Builds of £7,500 and above: 50/50 split (half upfront, half on completion/handover)
- Optional retainer: £997–£2,000/month after handover, billed monthly in advance
5.3 Workshops
£49 per workshop, paid at time of booking. Free for active MFOS members.
5.4 1:1 with Josh
£200 per hour, paid in advance at time of booking.
5.5 Add-ons
- Pipeline Strategy add-on: £300, paid in advance
- Email Infrastructure Build: £100, paid in advance. Mailbox and domain provider fees are passed through to you and paid directly by you to those providers.
5.6 Currency
All prices are in GBP (£) unless otherwise stated. Third-party tool costs (Instantly, Clay, Claude Pro, email hosting, etc.) are billed by those providers directly and are your responsibility.
5.7 Failed payments
If a membership payment fails, we will notify you by email and attempt the charge again. If payment remains unpaid for more than 14 days, we reserve the right to suspend access until payment is received. We may cancel a membership that remains in arrears for more than 30 days.
6. Cancellation and Refunds
6.1 Modern Founder OS Membership
- Cancel anytime. You can cancel your membership at any time via your account or by emailing us. Cancellation takes effect at the end of your current paid month — you keep access until then.
- No refunds for partial months. Once a monthly payment has been taken, that month is non-refundable.
- 14-day cooling-off period (Consumer Contracts Regulations 2013): if you signed up within the last 14 days and have not accessed any platform content, you are entitled to a full refund. If you have already accessed content during the cooling-off period, we may deduct a fair amount for the value already received.
- Founder pricing: founder pricing is locked for life as long as your membership remains continuously active. If you cancel and later rejoin, you join at the prevailing standard rate.
6.2 DFY Builds
- Before work begins: full refund of any deposit paid.
- Once work has started: the initial 50% (or upfront amount, if under £7,500) is non-refundable. If you cancel before completion, no further amounts are due.
- After handover: no refunds. The system has been delivered.
- Retainers: monthly retainers can be cancelled with 30 days' written notice. The current month, once charged, is non-refundable.
6.3 Workshops
- Before access: refunds available within 14 days of purchase if you have not accessed the workshop content.
- After access: no refund once the workshop has been attended or its recording accessed.
6.4 1:1 with Josh
- More than 48 hours before the call: full refund available.
- Within 48 hours, or no-shows: no refund.
6.5 Add-ons (Pipeline Strategy, Email Infrastructure)
- Before work begins: full refund available.
- Once work has started: no refund.
6.6 How to request a refund or cancel
Email hello@sidebysidesystems.com with your name, the service in question, and your reason. Refunds are processed within 14 working days. Membership cancellations are effective at the end of the current paid period.
7. Intellectual Property
7.1 Our IP
All Modern Founder OS content, templates, prompts, AI skills, SOPs, methodologies, frameworks, and other materials we provide remain our intellectual property.
This includes (but is not limited to):
- The Modern Founder OS platform code and design
- Lesson recordings, slides, and written materials
- Claude Code skill files and prompts
- Clay prompt templates and scoring logic
- Strategy and tone-of-voice templates
- The ANGLE method, 4Ps method, and other proprietary frameworks
- SOPs and delegation tools
7.2 Your licence
While your membership is active (or for the lifetime of a DFY build), you receive a personal, non-transferable, non-exclusive licence to use the materials provided for your own business purposes. You may:
- Use the templates, prompts, AI tools, and infrastructure we provide or teach for your own outreach, CRM, automation, and content work
- Adapt and modify prompts, templates, and SOPs for your specific business
- Use SOPs to delegate tasks within your own business
7.3 What you may NOT do
- Resell, redistribute, or share Modern Founder OS materials, templates, or AI skills with anyone outside your business
- Use our materials to create a competing product or service (a course, template pack, agency offering, or tool that replicates our methodology and offers it to others)
- Share your platform login credentials or otherwise give others access to your membership
- Record, redistribute, or publish group calls, Loom recordings, or coaching sessions without our written permission
- Publicly post or share our proprietary prompts, scoring logic, skill files, or SOPs
7.4 Your data and outputs
You own:
- The outputs you generate using our tools (your campaigns, your adapted prompts, your knowledge bases, your analyses)
- Your email infrastructure (domains, mailboxes)
- Your Clay tables, lead lists, and enriched data
- Anything you write or build inside the platform that is your business content
7.5 DFY clients
For DFY builds, the system built for you is yours to own, operate, and modify. The underlying methodology and templates remain our intellectual property, but you have a perpetual right to use, run, and adapt the delivered system for your business.
8. Third-Party Tools and Costs
8.1 Tools you may need
Many of our methods require active accounts with third-party tools, including (but not limited to):
- Stripe (we use this to bill you — no setup needed on your side)
- Instantly.ai or Lemlist (cold email sending)
- Clay (lead sourcing and enrichment)
- Anthropic / Claude (AI tools)
- Email hosting providers (for mailboxes)
- HeyReach (LinkedIn outreach)
8.2 Your responsibility
You are responsible for:
- Paying all third-party tool subscriptions and usage fees directly to those providers
- Maintaining your accounts in good standing
- Complying with each tool's own terms of service
- Ensuring your use of these tools complies with applicable laws (including UK PECR, UK GDPR, and the email marketing rules of any market you target)
8.3 Our responsibility
We are not responsible for:
- Changes to third-party pricing, features, or availability
- Outages or issues with third-party platforms
- Data loss caused by a third-party platform
- Any consequences arising from your misuse of third-party tools
9. Email Marketing and Compliance
9.1 Your obligations
If you use the methods we teach (or systems we build) to send outreach, you are responsible for:
- Complying with UK GDPR, UK PECR, EU GDPR, CAN-SPAM, and any other applicable email marketing laws in the regions you send to
- Including a clear opt-out / unsubscribe mechanism in every email
- Honouring opt-out requests promptly and maintaining a suppression list
- Not sending emails to lists obtained without a proper lawful basis
- Making sure your email content is truthful, not misleading, and not deceptive
9.2 Our role
We provide the tools, training, and (for DFY clients) the built systems. We do not monitor or control the content of emails you choose to send. You are solely responsible for your own outbound activity, your targeting, and your compliance.
10. Liability
10.1 No guarantee of results
We do not guarantee any specific results, revenue, leads, or outcomes from using our services. Results depend on your market, offer, effort, consistency, and many factors outside our control. Case studies and testimonials are representative of what some members and clients have achieved, not what every member will achieve.
10.2 Limitation of liability
To the maximum extent permitted by law:
- Our total liability for any claim arising from our services is limited to the amount you paid us for the service in question in the 12 months preceding the claim
- We are not liable for any indirect, incidental, consequential, or special damages, including lost profits, lost business opportunities, lost data, or reputational damage
- We are not liable for losses caused by third-party tools, platforms, hosts, or services
- Nothing in these Terms limits our liability where it cannot lawfully be limited (e.g. fraud, death or personal injury caused by negligence, statutory consumer rights you cannot waive)
10.3 Your responsibility
You acknowledge that:
- Outbound email marketing carries inherent risks (deliverability issues, spam complaints, domain reputation impact)
- You are responsible for the content and targeting of your campaigns
- You should test campaigns at small volumes before scaling
- We provide guidance and best practices; the final decision on what to send, to whom, and how to operate your systems rests with you
11. Confidentiality
11.1 Our obligations
We will keep your business information, strategy documents, and personal data confidential. We will not share your specific business details with other members or clients without your permission.
11.2 Your obligations
You agree to keep confidential any proprietary information shared during your membership or engagement, including:
- Internal methodologies, frameworks, and platform features not publicly available
- Other members' or clients' business information shared in group settings
- Pricing, commercial terms, and private business details discussed in calls
11.3 Testimonials and case studies
We may ask for your permission to use your results, feedback, or testimonial in our marketing. We will always ask before publishing, and you can decline.
12. Termination
12.1 By you
You may cancel your membership or end any engagement at any time as set out in Section 6.
12.2 By us
We reserve the right to terminate or suspend your access if you:
- Breach these Terms
- Engage in abusive or disruptive behaviour towards our staff, other members, or other clients
- Redistribute, resell, or publish our materials in breach of Section 7
- Use the platform or our methods for illegal purposes
- Fail to pay amounts that are due
In cases of termination by us for breach, refund eligibility will be assessed on a case-by-case basis and may be zero.
13. Force Majeure
We are not liable for delays or failure to deliver services caused by circumstances beyond our reasonable control, including but not limited to: illness, pandemic, natural disaster, internet outages, third-party platform failures, or government restrictions. In such cases, we will make reasonable efforts to resume services as soon as possible.
14. Dispute Resolution
14.1 Informal resolution
If you have a complaint or dispute, please email hello@sidebysidesystems.com first. We will make every effort to resolve the issue informally within 14 days.
14.2 Governing law
These Terms are governed by the laws of England and Wales. Any disputes that cannot be resolved informally will be subject to the exclusive jurisdiction of the courts of England and Wales.
15. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date at the top will always reflect the most recent version. If we make changes that materially affect your rights, we will notify you by email (for active members and customers) or via a notice on the website.
